Sherwood Art Week Constitution
Name
The name of the Organisation is Sherwood Art Week
Aims
To be a mutually supportive group of local artists and residents to create a community and to reduce isolation. To present art and creative activities locally and to raise the profile of local artists.
Objectives
· Hold Involvement Meetings for members at least four times per year
· Social events will be arranged as appropriate
· Raise money to fund the group’s activities
· Liaise with the Local Council, Local Schools, Businesses, Community Groups
and others, to further the aims
Membership
Membership is open to any person over the age of 18 interested in furthering the aims and objectives of the group. Every member has one vote.
The membership of any member may be terminated if his or her actions are deemed, by the group, to be detrimental to the well being of the group or other members.
Decision Making - The Core Group
The Core Group will meet at least four times per year to plan activities and deal with matters that arise.
To make decisions, three members of the Core Group need to be present at meetings, including two from Chair, Treasurer, Secretary.
The Core Group will keep minutes of the proceedings.
No Core Group member will receive payment or receive personal gain from any contract entered into by the group.
Decision Making - The Annual General Meeting (AGM)
The AGM will be held within fifteen months of the adoption of this Constitution
and yearly thereafter.
Notice of the AGM shall be given to all members a minimum of 14 days prior to the event.
The members will elect from among themselves a Chair, Treasurer, Secretary and Core Group members, by a simple majority vote.
The Core Group may co-opt members at other times to assist with the running of the group. Co-opted members do have voting powers.
An Extraordinary General Meeting can be called by the Officers of the Organisation giving 14 days’ notice and specifying the nature of the business of the meeting.
Proposed amendments to the Constitution shall be considered at the AGM, or an EGM, decided by simple majority voting and noted in the minutes.
Equal Opportunities StatementSherwood Art Week acknowledges that the United Kingdom is a society diverse in race, culture, creed and interests, and that no person or group should suffer discrimination on the basis of: race, gender, visible or invisible disability, age or sexual preference, religion, marital status or supporting dependants.
Child Protection Statement
Sherwood Art Week uphold that ‘the welfare of children is paramount’, and will refer to the Nottingham City Children’s Services Practice Guidelines on Child Protection (revised Jan 2009).
Finances
The funds belonging to the group will only be used for the group.
Any bank accounts opened for/by the group will be in the name of the group.
The treasurer will be responsible for opening and maintaining the bank account.
The treasurer and one other signatory will sign any cheques issued.
Signatories to the account will not be members of the same household or family.
Accounts of the group will be prepared annually and presented at the AGM.
Dissolution
The organisation can be dissolved on agreement of the Core Group and democratic consultation of all members. After settling any liabilities, any money not completely spent on the purpose for which it was given will be returned to the grant making body concerned. Remaining money, equipment or assets will be passed to a not-for-profit organisation or group to use for charitable purposes for the benefit of the local community.
